Terms of Service
Scope of these terms
These Terms govern the use of Lifely by individual members. Restaurant partners, merchants, and other business users are subject to separate contractual arrangements and are not governed by these member terms. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lifely Experience with respect to your use of the service and supersede all prior understandings or agreements on the same subject matter.
Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement in your place of residence in order to use the service.
Some participating venues accessible through Lifely — including bars, licensed establishments, and other age-restricted businesses — may require you to present valid government-issued identification before fulfilling a redemption. You are solely responsible for carrying appropriate identification when visiting such venues. A participating venue retains the right to decline or cancel a redemption if you are unable to verify that you meet the applicable age or legal requirements. Lifely Experience is not liable for any redemption refused on this basis, and no refund or replacement redemption will be issued as a result of such a refusal.
Membership services
Lifely provides access to a membership platform through which eligible users may discover participating venues through list and map views with filtering by cuisine, mood, and price range; save favourite venues; review and obtain redemptions and related benefits; track their savings and membership value through an in-app dashboard; manage guest passes, referrals, notification preferences, and account settings. We may modify, suspend, or discontinue any feature or part of the service from time to time.
Account access and credential security
Your Lifely account is personal to you and is intended for use by a single individual only. You may not share your login credentials, account access, or membership benefits with any other person, whether for commercial purposes or otherwise. Each account is licensed for single-user access, and the membership benefits associated with your account may not be transferred or used on behalf of others.
If we have reasonable grounds to believe that an account is being accessed or used by more than one person, shared with others, or used in a manner inconsistent with single-user access, we reserve the right to restrict, suspend, or permanently deactivate the account without prior notice. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Complimentary access, referrals, and promotions
Users who do not hold an active paid membership may be granted a limited number of complimentary redemptions, as described in the service at the time of use. Additional complimentary or bonus redemptions may be offered through referral programs or promotional campaigns.
Referral rewards, including bonus redemptions granted to you upon a successful referral, are credited to your account at the time the referral is confirmed and do not expire as long as your account remains active and in good standing. Referral and promotional benefits are conditional and may be withheld, reversed, or cancelled where we reasonably determine that misuse, fraud, manipulation, or other abuse has occurred. We use device-based and account-based signals to detect fraudulent referral activity, and accounts involved in such activity may be subject to suspension.
Where activation codes are issued in connection with special access programs, early access initiatives, or promotional campaigns, such codes are non-transferable, valid for a single use unless otherwise stated, and may be revoked or expired at our discretion. Activation codes carry no monetary value and cannot be exchanged for cash or credits.
Subscription, billing, and renewal
Paid membership is billed on an annual basis. Unless cancelled before renewal, your subscription will renew automatically on the applicable anniversary date at the then-current renewal price. Promotional extensions or special offers, where granted, apply only as expressly stated at the time they are offered.
We will send you an advance notice by email before your subscription renews, providing you with sufficient time to review and, if you wish, cancel before the renewal date. It is your responsibility to ensure that the email address associated with your account is current and capable of receiving such communications.
By subscribing, you authorize Lifely Experience and its payment processor, Stripe, to charge the payment method associated with your account for all applicable fees, taxes, and renewals.
Cancellation, reactivation, and refunds
You may cancel your subscription at any time through your account settings or by contacting us. If you cancel, your membership benefits will continue until the end of the current paid period, unless otherwise stated. If cancellation occurs before the renewal date, you may be permitted to reactivate your subscription before that date, subject to the features available in the service at that time.
Except where required by applicable law, fees are not refundable once charged. If you cancelled in accordance with the service flow but were nevertheless charged due to an error attributable to us, please contact us and we will review the matter in good faith.
If you initiate a chargeback or payment dispute with your financial institution without first contacting us to resolve the matter, Lifely Experience reserves the right to revoke your access to the service until the chargeback or dispute is fully settled. We encourage you to reach out to us at [email protected] before initiating any dispute, as most billing concerns can be resolved quickly and directly.
Offers and participating venues
Offers appearing in the service are made available through independent participating venues. Lifely Experience provides the platform through which offers may be displayed, accessed, and redeemed, but does not control the daily operations of those venues or the goods and services they provide in person.
Offers are subject to availability and may change without notice. Participating venues may set a maximum number of redemptions for any given offer. Once that redemption limit is reached, the offer may automatically change, be replaced by an alternative offer, or become unavailable, in accordance with the venue's configuration. Lifely Experience does not guarantee the continued availability of any specific offer, pricing, or benefit at any time. Venues may also deactivate, pause, or modify offers at any time, and Lifely Experience bears no liability for such changes.
Matters relating to food quality, service quality, availability, dietary compliance, allergens, health and safety conditions, or any other aspect of the in-person venue experience remain the sole responsibility of the participating venue. Where a valid offer or redemption is not made available through the platform as represented, we may review the matter in accordance with our policies and partner arrangements.
Redemptions
All redemptions are subject to the specific terms applicable to the relevant offer, including availability periods, usage frequency, and redemption conditions. You may not hold more than one active redemption at the same time. Issued redemptions may expire if not used within the period provided in the service.
Following a completed redemption, a cooldown period currently applies before another redemption may be initiated. At the date of these Terms, that cooldown period is three hours. Expired unused redemptions do not trigger the cooldown.
Lifely Experience reserves the right to void or cancel a redemption at its discretion, including in cases of suspected misuse, technical error, or breach of these Terms. Where a redemption is voided by us for reasons not attributable to you, we will endeavour to restore the redemption entitlement to your account.
Guest passes
Where guest passes are made available, they may be shared with one recipient only and remain subject to any limits, expiry periods, and conditions stated in the service. A guest pass does not reduce the sender's own redemption entitlement under the applicable offer terms unless expressly stated otherwise.
Third-party websites and venue platforms
The service may contain links to third-party websites, venue-operated platforms, or external content. Lifely Experience is not responsible for the content, terms of service, privacy practices, accuracy, or actions of any third-party website or venue-operated platform, regardless of whether such links are provided through the app or in communications from us. Accessing any third-party website or platform is at your own risk and is governed solely by that third party's terms and policies.
Acceptable use
You agree not to, and represent that you will not:
- share your account credentials or allow any other person to access or use your account;
- use the service for any commercial purpose, group purchasing arrangement, or on behalf of any other individual or entity;
- circumvent, manipulate, or attempt to circumvent any redemption, billing, eligibility, cooldown, or rate-limiting restriction;
- screenshot, duplicate, reproduce, or reuse QR codes, redemption codes, or any other time-limited access tokens generated by the service;
- create multiple or duplicate accounts, whether for personal use or to abuse referral programs;
- use automated tools, bots, scripts, or other means to access or interact with the service;
- interfere with, disrupt, or attempt to gain unauthorized access to any part of the service or its underlying infrastructure;
- submit false, misleading, or fraudulent information in connection with your account, feedback, or support requests;
- use the service for any unlawful purpose or in violation of any applicable law or regulation.
Suspension and termination
We may suspend, limit, or terminate access to the service, with or without prior notice, where we reasonably believe that any of the following has occurred:
- a breach of these Terms, including any violation of the acceptable use provisions above;
- fraudulent, abusive, or deceptive conduct in connection with the service;
- sharing of account credentials or use of the account by more than one individual;
- initiation of a chargeback or payment dispute, as described above;
- any other conduct that we reasonably determine to be harmful to the service, our users, our partners, or Lifely Experience.
Upon termination of your account, your access to the service, including any unredeemed redemptions, active guest passes, referral rewards, and saved data, will be discontinued. We will retain and handle your personal information in accordance with our Privacy Policy. Termination does not entitle you to a refund of any prepaid fees except where required by applicable law.
Disclaimers
To the fullest extent permitted by law, the service is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, free of errors, or continuously available.
Lifely Experience is a platform that connects members with independent participating venues. We do not operate, manage, supervise, inspect, or control the physical premises of any participating venue. We make no representation or warranty regarding the safety, suitability, condition, or quality of any venue's premises, services, food, beverages, equipment, staff, or operations. Any in-person experience at a participating venue, including all activities, consumption of food or beverages, and use of venue facilities, is undertaken at your own risk.
Limitation of liability
To the fullest extent permitted by law, Lifely Experience and its affiliates, directors, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data arising out of or relating to the service or these Terms.
Lifely Experience expressly disclaims all liability for any personal injury, bodily harm, illness, death, property damage, or any other loss or damage of any kind arising out of or in connection with your visit to, or experience at, any participating venue, regardless of whether such loss or damage arises from the acts or omissions of the venue, its staff, other patrons, or any third party. All claims of this nature must be directed exclusively to the participating venue.
To the fullest extent permitted by law, our aggregate liability for any claim arising out of or in connection with these Terms or the service — other than claims for personal injury or death that cannot be excluded or limited under applicable law — shall not exceed the greater of (a) the total amount paid by you to Lifely Experience for the membership during the twelve-month period preceding the event giving rise to the claim, or (b) CAD $50. Nothing in these Terms limits any rights that cannot be lawfully excluded or restricted under applicable consumer protection or other mandatory laws.
Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Lifely Experience and its affiliates, directors, officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the service in violation of these Terms; (b) your breach of any representation, warranty, or obligation under these Terms; (c) any fraudulent, deceptive, or unlawful conduct by you in connection with the service; (d) any claim by a third party arising from your actions or omissions in connection with a participating venue.
Governing law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles, subject to any mandatory rights available to you under the laws of your province or territory of residence.
Dispute resolution
Before initiating any formal legal proceeding, you agree to contact us at [email protected] and provide a written description of your concern, giving us a reasonable opportunity — no less than thirty (30) days — to attempt to resolve the matter in good faith. This requirement does not limit your right to seek emergency or injunctive relief where necessary.
Severability and waiver
If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision in the future. No waiver of any provision of these Terms will be effective unless made in writing.
Amendments
We may amend these Terms from time to time. Any revised version will be posted with an updated "Last updated" date. For material changes, we will provide advance notice by email, in-app message, or other reasonable means before the changes take effect. Continued use of the service after the effective date of revised Terms constitutes your acceptance of those revisions, except where applicable law requires a different form of notice or consent.
